These Terms of Service ("Terms") are a binding agreement between you and Fractals Trading Technology, a company registered in England and Wales (company number [COMPANY_NUMBER]) whose registered office is at [ADDRESS] ("Fractals", "we", "us"). They govern your use of the Fractals website at fractalsjournal.xyz and the Fractals trading-performance platform (the "Service").
By creating an account or using the Service you agree to these Terms and to the documents they include: the Trading & Risk Disclaimer, Subscription & Refund Policy and Acceptable Use Policy. Our Privacy Policy explains how we handle your data. If you don't agree, don't use the Service.
1. Eligibility
You must be at least 18 years old and able to form a binding contract. If you use the Service for a company or other organisation, you confirm you are authorised to accept these Terms on its behalf, and "you" includes that organisation.
2. What Fractals does, and doesn't do
Fractals is a software tool that imports, organises and analyses trading data that you provide, so you can review your own trading performance.
Fractals does not:
- provide financial, investment, trading, tax or legal advice, or recommend any financial product or strategy;
- execute, place, modify or cancel trades, or hold money or assets on your behalf;
- act as a broker, financial adviser, fund manager or other regulated financial service provider. We are not authorised or regulated by the Financial Conduct Authority (FCA).
All analytics, metrics, statistics, recommendations and reports are for information and self-review only. You are solely responsible for your trading decisions. Please read the Trading & Risk Disclaimer, which forms part of these Terms.
3. Your account
- Give us accurate information and keep it up to date.
- Keep your login details secure and don't share your account. You're responsible for activity on your account.
- Tell us immediately at support@fractalsjournal.xyz if you suspect unauthorised access.
- One person per account unless your plan allows multiple users.
4. Connecting trading platforms and uploading data
- You may connect supported third-party platforms, upload data by CSV, or add trades by hand.
- By connecting a platform, you authorise us to access and import your trading data from it on your behalf. Where possible, use read-only or investor credentials.
- You confirm you are entitled to share that data with us and that doing so doesn't breach the platform's terms or any agreement with your broker.
- Third-party platforms are not controlled by us. Their availability, accuracy, APIs and terms may change at any time, which may interrupt or end an integration. We are not responsible for third-party platforms or the data they supply.
- Imported data may be incomplete, delayed or inaccurate (for example, due to platform errors, missing fills, currency conversion or file formatting). Check important figures against your broker statements, which are the authoritative record.
5. Your content
You own the trading data, notes, tags, screenshots and other content you add to the Service ("Your Content"). You grant us a non-exclusive, worldwide, royalty-free licence to host, store, process, copy and display Your Content only as needed to provide, secure and improve the Service, and to create aggregated or de-identified data as described in our Privacy Policy. This licence ends when Your Content is deleted from our systems.
You can export Your Content at any time while your account is active.
6. Subscriptions, trials and payments
Paid plans (Foundation, Professional and Advanced) are billed in advance on a recurring monthly or annual basis and renew automatically until cancelled.
Free trial. Your first subscription starts with a 7-day free trial of the plan you choose. You add a payment card when the trial starts, and nothing is charged that day. We'll email you at least 2 days before the trial ends. If you don't cancel before the trial ends, your subscription continues automatically and your card is charged the price of your plan, less any discount code you applied. One free trial per person and per payment card.
Discount codes are applied at checkout. Unless the code says otherwise, a percentage discount comes off your first payment after the trial. Prices, plan features, trials, upgrades, downgrades, cancellations and refunds are governed by the Subscription & Refund Policy. Payments are processed by Stripe; you agree to its terms when you pay.
Prices may change. We'll give you at least 30 days' notice before a price increase applies to your subscription, and you can cancel before it takes effect.
7. Sharing with a mentor
You can invite a mentor or coach, who must have their own Fractals account, to view your journal. They see the read-only overview described on the sharing screen and can leave you feedback; they can't change your data. You choose who to invite and can stop sharing at any time. You are responsible for choosing who you share with, and mentors must keep what they see confidential and use it only to support you.
8. Acceptable use
You must use the Service lawfully and in line with our Acceptable Use Policy. In particular, you must not reverse engineer, scrape, resell or overload the Service, access another user's data, or use the Service to promote or market trading results in a misleading way.
9. Our intellectual property
The Service, including its software, design, dashboards, text, graphics, logos and the "Fractals" name, is owned by Fractals Trading Technology or its licensors. We give you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service under these Terms while your account is active. We reserve all other rights.
If you send us ideas or feedback, we may use them freely without obligation to you.
10. Availability and changes to the Service
We aim to keep the Service available and working well, but it is provided on an "as available" basis. It may be interrupted for maintenance, updates or reasons outside our control. We may add, change or remove features. If we remove a core feature of your paid plan, we'll tell you in advance and you may cancel and receive a pro-rata refund for any prepaid unused period.
Beta or preview features are offered as-is, may change or be withdrawn at any time, and are excluded from any service commitments.
11. Suspension and termination
You can close your account at any time from Settings → Your data → Delete account.
We may suspend or close your account if you materially breach these Terms, fail to pay, use the Service in a way that risks harm to us, other users or third parties, or if required by law. Where reasonable, we'll give you notice and a chance to fix the problem first.
When your account closes, your right to use the Service ends. We'll delete your data as described in our Privacy Policy, so export anything you want to keep first. Sections 2, 5, 9, 12, 13, 14 and 16 survive termination.
12. Disclaimers
If you are a consumer, we will provide the Service with reasonable care and skill and as described to you, as the Consumer Rights Act 2015 requires. Otherwise, to the maximum extent permitted by law, the Service is provided "as is" and "as available". We do not warrant that the Service will be uninterrupted or error-free, that data or calculations will be complete or accurate, or that using the Service will improve your trading results.
13. Limitation of liability
To the maximum extent permitted by law:
- we are not liable for any trading losses, lost profits, lost opportunities or investment decisions, however caused, including those based on information shown in the Service;
- we are not liable for any loss that was not reasonably foreseeable when you accepted these Terms, or for any business losses (if you are a consumer, we only provide the Service for your personal use);
- our total liability to you for all claims relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim, or £100 if greater.
Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for breach of your statutory rights as a consumer, or any other liability that cannot be limited by law. If defective digital content we supply damages a device or other digital content you own, we will repair the damage or compensate you where the law requires.
14. Indemnity
If you use the Service for business purposes, you agree to indemnify us against claims, losses and costs (including reasonable legal costs) arising from your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right, including the terms of any connected trading platform.
15. Your consumer rights
If you are a consumer in the UK, you have legal rights under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, including a 14-day right to cancel. How cancellation and refunds work is set out in the Subscription & Refund Policy. Consumers elsewhere may have similar rights under their local law. Nothing in these Terms removes or limits any of those rights. For advice about your rights, contact Citizens Advice (or Consumer Advice Scotland).
If you use the Service for business purposes, the Consumer Rights Act 2015 does not apply, and the limits in section 13 apply to the extent they are reasonable under the Unfair Contract Terms Act 1977.
16. Governing law and disputes
These Terms are governed by the law of England and Wales. Please contact us first at support@fractalsjournal.xyz so we can try to resolve any issue informally. If we can't resolve it within 30 days, either of us may bring proceedings in the courts of England and Wales. If you are a consumer living in Scotland or Northern Ireland, you may instead bring proceedings in your local courts, and if you live elsewhere you may also have the right to bring a claim in the courts of the country where you live.
17. Changes to these Terms
We may update these Terms. We'll post the new version with a new "Last updated" date and, for material changes, email you at least 14 days before they take effect. You'll be asked to accept the new version the next time you sign in. If you don't agree, you can cancel before the changes take effect.
18. General
- These Terms, together with the documents they reference, are the entire agreement between you and us about the Service.
- No one other than you and us has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
- If any part is found unenforceable, the rest remains in effect.
- Our failure to enforce a right is not a waiver of it.
- You may not transfer your rights under these Terms without our consent. We may transfer ours to a successor of our business.
- We're not liable for delays or failures caused by events beyond our reasonable control.
- We may send notices to the email on your account; you can send legal notices to hq@fractalsjournal.xyz.
